Founding Builder Donation Tiers Terms & Conditions

1. Agreement

By making a donation through the Founding Builder campaign and checking the box indicating your agreement, you ("Donor") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). These Terms constitute a binding agreement between the Donor and Sleepy Hollow Cinema, Inc., a New York nonprofit corporation and registered 501(c)(3) tax-exempt organization ("SHC," "we," "us," or "our").


2. Tax-Exempt Status & Acknowledgment

SHC is a registered 501(c)(3) nonprofit organization. Donations are tax-deductible to the extent permitted by applicable federal and state law. No goods or services will be provided in exchange for the charitable portion of any donation. Donors will receive a written acknowledgment of their contribution as required by the Internal Revenue Service.

3. Donation Tiers & Associated Benefits

Each donation tier includes all benefits associated with tiers of lesser value. The following benefits are offered in connection with each tier:

$10,000 — Seat Dedication Donor's name (or the name designated by Donor in writing) shall be affixed to a seat plaque inside the SHC theater. Donor shall also receive one (1) guaranteed ticket to SHC's opening night event.

$2,500 — Opening Night Patron Donor shall receive an invitation to the VIP opening night reception and shall be recognized by name in the official opening night program.

$1,000 — Charter Member Donor shall receive exclusive Sleepy Hollow Cinema charter merchandise and an invitation to a private tour of the theater space prior to opening.

$500 — Brick Builder Donor's name shall be displayed on a brick or decorative tile at the SHC theater.

$250 — Community Advocate Donor shall receive one (1) Sleepy Hollow Cinema t-shirt and one (1) yard sign or window sign.

4. Non-Refundability

All donations made pursuant to these Terms are final and non-refundable, except at the sole and absolute discretion of SHC. By submitting a donation, Donor expressly waives any right to a chargeback or reversal of funds except as required by applicable law.

5. Fulfillment of Benefits

SHC shall use commercially reasonable efforts to fulfill all benefits associated with each donation tier. The following conditions and limitations apply:

(a) Contingency on Opening. All physical and event-based benefits are contingent upon SHC successfully opening a cinema at The Strand on Beekman Avenue, Sleepy Hollow, New York. In the event SHC is unable to open at that location, SHC shall make a good faith effort to fulfill benefits at an alternative location or provide a comparable substitute of equivalent or greater value. SHC will make every effort to honor donor commitments but cannot guarantee benefits in the event the project does not proceed.

(b) Placement & Design. Seat placements, brick and tile placements, and all physical recognition elements are subject to availability, venue capacity, and final architectural and design decisions. SHC reserves the right to determine the size, format, material, and placement of all donor recognition elements. In the event a specific placement is unavailable, SHC shall provide a comparable alternative. SHC reserves the right to relocate all physical recognition elements following initial placement. SHC further reserves the right to repair or remove any physical recognition elements due to damage or wear and tear.

(c) Opening Night. Benefits associated with opening night are contingent upon SHC hosting an opening night event. The date, format, and nature of the opening night event are subject to change at SHC's sole discretion.

(d) Merchandise & Tours. Charter merchandise and private tour invitations will be fulfilled within a commercially reasonable timeframe prior to or upon opening. SHC will contact eligible donors directly with relevant details..

6. Naming Rights & Recognition

(a) Donors contributing at the Seat Dedication ($10,000) or Brick Builder ($500) tiers shall be contacted by SHC to provide their preferred display name(s) in writing prior to installation. SHC bears no responsibility for errors arising from inaccurate or incomplete information provided by the Donor. Any requested modification to the displayed name(s) following installation shall be at SHC’s sole discretion, and at the expense of the donor.

(b) SHC reserves the right, in its sole discretion, to decline to display any name that it determines to be offensive, defamatory, purely commercial in nature without prior written agreement, or otherwise inconsistent with SHC's mission and community values.

(c) Subject to the limitations described herein, physical recognition elements at the “Brick Builder” level shall be displayed for a period of fifty (50) years.

(d) Subject to the limitations described herein, physical recognition elements at the “Seat Dedication” level shall be displayed for a period of ten (10) years.

(e) Unless the Donor expressly requests anonymity in writing at the time of donation or via written notice to info@sleepyhollowcinema.org, Donor's name may be included on a general donor recognition list, recognition wall, or similar public-facing acknowledgment.

7. Limitation of Liability

SHC's liability to any Donor under these Terms shall not exceed the total amount donated by that Donor. SHC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to these Terms or the Donor's participation in the Founding Builder campaign, including but not limited to delays in opening, changes in venue, or modifications to benefit fulfillment.

8. Privacy

SHC shall collect, store, and process Donor information solely for the purposes of administering the Founding Builder campaign and communicating with Donors regarding their contributions and associated benefits. SHC shall not sell, rent, or otherwise disclose Donor information to any third party except as required by law.

9. Modifications

SHC reserves the right to modify these Terms at any time. Donors will be notified of any material changes that affect their tier benefits. Continued participation in the campaign following notice of any modification constitutes acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Westchester County, New York.
